This document governs in full and is incorporated by reference into all sales documents covering CUVO Lighting in Commercial and Industrial applications..

Seller warrants that the equipment manufactured and supplied by Seller (“Equipment”) shall, at the time of delivery, be of merchantable quality within the meaning of applicable commercial law and free from defects in materials and workmanship under normal use and service, provided the Equipment is installed, operated, and maintained strictly in accordance with Seller’s written specifications and instructions.

This warranty applies solely to the Equipment as manufactured and supplied by Seller and does not extend to any system, process, or application in which the Equipment is used.

Buyer acknowledges that the Equipment is intended to operate as part of a larger system not controlled by Seller. This warranty expressly excludes any failure, defect, damage, or performance issue arising from or attributable to components, machinery, materials, software, controls, power sources, or systems not manufactured or supplied by Seller, including but not limited to conveyors, substrates, coatings, inks, adhesives, photoinitiators, PLCs, line controls, electrical infrastructure, ventilation, or environmental conditions.

Seller does not warrant compatibility or performance with third-party equipment, materials, or processes and shall have no responsibility for product quality, curing performance, throughput, or production results affected thereby.

This warranty does not cover damage or failure resulting from misuse, improper installation, unauthorized modification, improper maintenance, contamination of optical or electrical components, power quality issues, exposure to unsuitable environmental conditions, or normal wear and consumable components.

Unless otherwise stated in writing, the warranty period shall be twelve (12) months from the date of shipment. Repaired or replaced components shall be warranted only for the remainder of the original warranty period.

Seller’s sole obligation and Buyer’s exclusive remedy shall be, at Seller’s option, repair or replacement of defective Equipment or refund of the purchase price paid for the defective portion of the Equipment.

EXCEPT AS EXPRESSLY PROVIDED HEREIN, SELLER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE. Buyer assumes all responsibility for selection of the Equipment for Buyer’s application.

IN NO EVENT SHALL SELLER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF PRODUCTION, OR LOSS OF USE. SELLER’S TOTAL LIABILITY SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE EQUIPMENT GIVING RISE TO THE CLAIM.
